These terms govern your use of Impactly ("the Service"), operated by Impactly ("we", "us", "our"). By creating an account or using the Service, you agree to these terms.

1. Your Account

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 13 years old to use Impactly. You are responsible for all activity that occurs under your account.

2. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Upload malicious code, viruses, or harmful content
• Scrape, crawl, or use automated tools to extract data from the Service without permission
• Impersonate another person or entity
• Use the Service to send spam or unsolicited messages

3. Your Content

You retain ownership of all content you create in Impactly (tasks, comments, files, project data). By using the Service, you grant us a limited license to store, process, and display your content solely to provide and improve the Service.

You are responsible for ensuring you have the right to upload any content you add to Impactly.

4. AI Features

Impactly includes AI teammate features powered by third-party AI providers. When you use AI features, your task content may be sent to these providers for processing. AI-generated content is provided as-is and should be reviewed before use. You are responsible for any actions taken based on AI-generated suggestions.

5. API Access

If you use the Impactly API, you must keep your API keys secure and not share them publicly. We may rate-limit or suspend API access if usage patterns indicate abuse or excessive load. API access is subject to these same terms.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime.

7. Payment and Billing

Impactly is currently offered free of charge during the early access period. If we introduce paid plans, we will notify you in advance. No charges will be applied without your explicit consent.

8. Intellectual Property

The Impactly name, logo, and application design are our intellectual property. You may not copy, modify, or distribute any part of the Service without written permission. This does not affect your ownership of the content you create within the Service.

9. Limitation of Liability

To the maximum extent permitted by law, Impactly is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of data, revenue, or profits.

Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

10. Termination

You may delete your account at any time. We may suspend or terminate your account if you violate these terms or engage in conduct that is harmful to other users or the Service. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days after termination where feasible.

11. Changes to These Terms

We may update these terms from time to time. We will notify you of significant changes by email or through the application. Continued use of the Service after changes constitutes acceptance of the updated terms. If you disagree with the changes, you may delete your account.

12. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the state in which Impactly is incorporated.
